Terms of Service

By creating an account, accessing, or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you are entering into these Terms on behalf of an organization, you represent that you have the authority to bind that organization, in which case "you" refers to that organization.

You must be at least 18 years old and have the authority to enter into a binding agreement to use the Services. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. Notify us promptly of any unauthorized use.

StraboWats provides a suite of enterprise communication tools, including:

We may add, modify, or remove features from time to time to improve the Services, and will provide reasonable notice of material changes that affect Customer use.

StraboWats connects to the WhatsApp Business Platform as an authorized technology provider. Customers are solely responsible for complying with the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, and all applicable Meta terms, including obtaining valid opt-in consent from End Customers before sending messages. StraboWats integrates exclusively with the official WhatsApp Business Platform APIs provided by Meta and does not facilitate messaging outside these permitted channels.

We reserve the right to suspend messaging functionality for any account that violates Meta's policies or applicable messaging laws, including anti-spam and telecommunications regulations.

You agree not to use the Services to:

• Send unsolicited, deceptive, or unlawful messages, including spam
• Transmit malware, or attempt to gain unauthorized access to our systems
• Violate any applicable law, regulation, or third-party right, including intellectual property and privacy rights
• Reverse-engineer, resell, or sublicense the Services without authorization
• Interfere with the availability, security, or integrity of the Services

We reserve the right to investigate and take appropriate action, including suspension, for violations of this section.

AI features, including Suggested Replies, Chat Summaries, Intent Classification, Sentiment Analysis, and RAG Knowledge Search, are optional and provided as assistive tools. Organizations control whether AI features are enabled for their account. AI-generated content may occasionally be inaccurate, and Users are responsible for reviewing outputs before relying on them in communications with End Customers.

Use of paid features requires payment of applicable subscription fees, as described at the time of purchase. Fees are billed in advance on a recurring basis unless stated otherwise, and are non-refundable except as required by law or expressly stated in an order form. We may change our pricing with reasonable advance notice.

As between the parties, Customers retain all rights, title, and interest in the data they submit to the Services ("Customer Data"), including CRM records, messages, and media. StraboWats acts as a data processor for Customer Data and processes it solely to provide the Services, as described in our Privacy Policy. We do not sell personal information.

StraboWats and its licensors retain all rights, title, and interest in the Services, including software, design, trademarks, and documentation. Except for the limited right to use the Services as permitted under these Terms, no rights are granted to Customers or Users by implication or otherwise.

The Services may integrate with third-party platforms that a Customer chooses to connect, including Meta WhatsApp Business Platform, Google Cloud, Google Workspace, Microsoft Entra ID, Stripe, Paddle, Shopify, WooCommerce, HubSpot, Salesforce, Zapier, and n8n. Use of these integrations is subject to the applicable third party's own terms, and StraboWats is not responsible for the availability or performance of third-party services.

Either party may terminate an account as described in the applicable order form or, absent one, with 30 days' written notice. We may suspend or terminate access immediately for a material breach of these Terms, non-payment, or conduct that risks harm to the Services, other users, or our relationship with Meta. Upon termination, your right to access the Services ends, subject to any data export or deletion rights described in our Privacy Policy.

The Services are provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that message delivery through the WhatsApp Business Platform will always succeed, as delivery depends in part on factors outside our control, including Meta's platform.

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data, arising from or related to these Terms or the Services. Each party's total aggregate liability will not exceed the fees paid or payable by the Customer in the 12 months preceding the claim, except for obligations that cannot be limited under applicable law.

Each party agrees to indemnify and hold the other harmless from third-party claims arising from its breach of these Terms, violation of applicable law, or, in the case of the Customer, its use of the Services to send messages without proper End Customer consent.

These Terms are governed by the laws applicable in the jurisdiction specified in your order form or account agreement with StraboWats, without regard to conflict-of-law principles. Any disputes will be resolved through the process described in your order form, or, absent one, through good-faith negotiation followed by binding arbitration or the competent courts of the applicable jurisdiction.

We may update these Terms from time to time to reflect changes in our Services, technology, or legal requirements. We will post the updated Terms on this page and revise the Effective Date above. Continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
